AGREEMENT made between Insiders-club.com a company organized in the State of Connecticut with its mailing address at PO Box 290728, Wethersfield, CT 06129-0728, providing a service called the Insiders-Club Membership ("IC", "We", "Us", "Our"), and the person who purchases an IC Membership ("You", "Your", "Member").

WITNESSETH:

1. SERVICES

a) The service which IC shall provide to You during the term of the membership shall include:

i) Exclusive FREE shipping offers
ii) Insider Coupon directory for merchant partner savings
iii) Periodic delivery of the IC email newsletter.
iv) IC's Complete Price Protection program
v) IC's Double Warranty program
vi) IC's Return Shipping Guarantee
vii) Other member benefits which may change from time to time with or without notice to You.

b) IC reserves the right to modify or change the terms and conditions of this Agreement and any membership policies at any time and without notice. IC may cancel this Agreement upon written notice and refund of unused portion of the current-term's membership fee.

c) All membership fees, rebates, and other purchases will be calculated and settled in US dollars.

2. WHO MAY USE

You and immediate members of your family living in your household may use the IC services on your or their behalf. Membership cannot be used by or for commercial institutions. Only one membership per household is allowed. You shall be responsible for all use of your membership and shall notify IC immediately of any unauthorized use of your membership. You shall continue to be responsible for all use of your membership, including all charges to your account, until you provide IC with such notice. You agree to indemnify IC and hold IC harmless from and against any claim, loss, or liability (including reasonable attorney's fees) arising from the violation by you or by anyone using your account, subject to the existing law of any third-party rights, including, but not limited to, copyright infringement, privacy or proprietary rights.

3. CONFIDENTIALITY

All information and software provided through IC is and shall remain the sole and exclusive property of IC. You shall not publish, broadcast, retransmit, or otherwise reproduce, the information or software in any medium. Any violation of this restriction is an infringement of copyright or proprietary rights in the information and software.

4. LIABILITY

IC shall have no liability to you as a seller of any products or services, including, without limitations, any liability for any defective products. IC MAKES NO WARRANTY, EXPRESS OR IMPLIED, WITH RESPECT TO ANY PRODUCTS OR SERVICES SOLD OR INFORMATION DELIVERED OR PROVIDED TO YOU, INCLUDING ANY WARRANTY OR MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND IC SHALL, UNDER NO CIRCUMSTANCES, BE LIABLE FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. IC's LIABILITY TO YOU SHALL IN NO EVENT EXCEED THE AMOUNT OF THE IC MEMBERSHIP FEE. FURTHERMORE, IN NO EVENT WILL IC OR ITS PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF INTERNET SITE www.freeshipping.com AND ALL RELATED SUB DOMAINS OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID SITE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THIS SITE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OR LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS. NEITHER PARTY'S AGGREGATE LIABILITY TO THE OTHER WITH RESPECT TO ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THE SUBJECT MATTER OF THIS AGREEMENT WILL EXCEED THE AMOUNTS RECEIVED BY SUCH PARTY UNDER SECTION 6.

5.GOVERNING LAW AND ARBITRATION

This Agreement, and the respective rights and obligations of the parties hereunder, shall be governed by, and construed in accordance with the laws of the State of Connecticut. Any dispute arising between you and IC will be submitted to arbitration in the State of Connecticut in accordance with the rules of the American Arbitration Associations then in effect. Nothing shall deprive you of the benefits of your state's consumer protection laws.

6. MEMBERSHIP FEE

The membership fee will be the amount agreed at the time of your enrollment, and will automatically be billed to your designated credit or debit card account on the terms described. The amount of future IC Membership fees will be established by IC, and may change within its discretion and without notice. IC shall not be responsible for any fees charged to your designated credit or debit card account by the issuer, bank or financial institution; including, but not limited to overdraft, insufficient funds and over credit limit fees.

7. REBATE PROCESSING

Rebate offers are only good in the US and Canada. Void where prohibited, taxed, or restricted by law. IC is not responsible for lost, postage-due, stolen or misdirected mail. Keep copies of all materials submitted; materials received become the property of IC and will not be returned. Only one introductory offer can be claimed per household. You will receive your rebate as soon as possible, but please allow three to six weeks for processing. WARNING: Fraudulent submission of rebate claims could result in federal prosecution under US Mail Fraud Statutes. It is your responsibility to immediately notify IC of any changes, errors, canceled orders, or returned merchandise once a rebate claim has been submitted. Failure to do so may result in the termination of your membership. Please see the rebate-specific terms and conditions for additional information.

8. RIGHT TO CANCEL MEMBERSHIP

If at any time you're not completely satisfied with the service you receive as an IC Member, simply let us know and we will promptly cancel your account. Refunds will be processed, if applicable, as agreed upon at the time of your enrollment. To cancel your membership, simply send an email to our Customer Care department using the "contact us" form on this site, and a message containing your name, address, and email account you use to log on, or follow the instructions on the IC website (Member Services section- Update/Cancel Membership), or, as a third option, you may call us at (800) 869-5597 and a representative will assist you. Any refund due will be made by IC by crediting the card to which your initial membership fee was billed or to the current card IC has in our files. Upon cancellation, you will not receive or be entitled to use any benefits of the service after the cancellation effective date; unless otherwise noted, membership must be active at the time all claims are paid. A cancelling member may be prohibited from re-enrolling in the service.

9. TERMINATION

IC has the right to terminate this Agreement at any time for any reason if IC refunds to you the pro-rata amount of the membership fee paid for the then-current term. The refund of the membership fee will be made by IC by crediting the card to which your initial membership fee was billed or to the current card which IC has in our files. You will not receive or be entitled to use any benefits or discounts of the service after the cancellation date. A cancelling member may be prohibited from re-enrolling in the service.

10. RENEWALS

Unless you notify IC that you do not wish to renew your membership, IC will automatically renew your membership at the end of each term and bill the then current renewal fee to the card your original membership fee was billed to, or to the card we currently have on our files without your having to do anything further. IC subscribes to a third party service that can refresh expired credit card or debit card information so that your membership does not lapse because the registered card(s) on file with IC has expired ("Account Updater"). By joining IC, you consent to IC's disclosure of your registration information to this third party service and to that service's use of such information solely in connection with Account Updater. You also consent to IC's receipt and use of updated credit card or debit card account information from your financial institution in connection with payment for your membership service.

11. By becoming an IC Member, you agree with this Agreement, all Service Terms and Conditions, Site Use, and Privacy Policies, which are final and binding in all respects.
